● The Commercial Real Estate Owner ("Owner") has agreed to allow Supernova LLC ("Supernova") to install, operate, and maintain solar farms and EV charging stations on their property located at:

3) Commission Structure the Sales Rep will receive compensation in the form of one or more of the following, as negotiated and mutually agreed:

4) Payment Schedule

The agreed commission shall be paid to the Sales Rep by Supernova as follows: - For revenue-based commissions, payments will be made on a quarterly basis or sooner, beginning 60 days after Supernova starts receiving payments from energy sales. - For vehicle vouchers, delivery of vouchers shall occur within 30 days of installation completion. - For tax credits, commission will be distributed within 60 days after credits are received by Supernova and the Owner.

5) Authorization by Commercial Real Estate Owner

The Owner acknowledges and agrees that Supernova is authorized to make the above commission payments to the Sales Rep based on the terms negotiated in this Agreement. The Owner’s agreement to the commission structure is indicated by their signature below.

6) Term and Termination

This Agreement will remain in effect until all commission payments have been completed. Either party may terminate this Agreement with [30] days' written notice. Termination will not affect the Sales Rep's right to any commission already earned.

7) Governing Law

This Agreement will be governed by and constructed in accordance with the laws of the state of Georgia, without regard to its conflict of laws principles. 8) Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the Sales Rep’s commission and supersedes all prior agreements or understandings, written or oral.
